Please read these Terms and Conditions ("Terms") carefully before accessing or using our website, quantitative terminal, APIs, or any related services (collectively, the "Services"). By registering an account, subscribing, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree to any part of these Terms, please do not use our Services.

1. Nature of Services and No Investment Advice Disclaimer (IMPORTANT)

1.1 Not a Financial Advisor: Arakawa Quant is a technology provider offering quantitative model data, geopolitical analysis, and open-source charting tools. We are NOT a registered broker, investment advisor, or financial institution. The Platform does not offer any fund custody or asset management services. 1.2 For Informational Purposes Only: All content provided on the Platform (including but not limited to quantitative signals, market analysis, backtested success rates, and community discussions) is for educational and informational purposes only and absolutely does not constitute financial, investment, or trading advice to buy, sell, or hold any cryptocurrency, equity, forex, or futures. 1.3 Assumption of Risk: Financial markets (especially leveraged derivatives and crypto markets) carry extremely high risks. Historical backtested data (e.g., 95% success rates) does not guarantee future actual performance. You acknowledge and agree that you bear 100% responsibility for all your trading decisions and financial losses.

2. Account Registration and Security

You must be at least 18 years old to register an account. You must provide accurate registration information and are responsible for safeguarding your login credentials. You are fully responsible for any activities conducted under your account. Sharing your account with others is strictly prohibited.

3. Billing, Subscriptions, and No Refund Policy

3.1 Subscription Services: Certain core quantitative signals and in-depth reports require a paid subscription to unlock. You will be billed on a recurring basis (monthly or annually) depending on the subscription plan you select. 3.2 No Refunds: Due to the real-time nature of our proprietary trading signals and digital content, all subscription fees paid are final and non-refundable. We do not provide refunds or prorated credits for any partial-month subscription periods or unused services. 3.3 Cancellation: You may cancel your future subscription renewals at any time via your Account Settings. If you cancel, you will not receive a refund for any payment already made, but you will retain access to the premium services until the end of your current billing cycle, and you will not be charged again.

4. Intellectual Property and Acceptable Use

4.1 Proprietary Rights: Arakawa Quant retains all intellectual property rights to its Platform, proprietary quantitative models, algorithms, and analysis reports. 4.2 Prohibited Conduct: Your subscription is for your personal use only. Without our express prior written consent, you are strictly prohibited from:

Copying, reselling, redistributing, or publicly broadcasting our quantitative signals and content (e.g., forwarding to other paid communities);

Scraping or extracting data from the Platform using automated tools (e.g., crawlers, bots);

Reverse engineering our terminal or quantitative models. If such behavior is detected, we reserve the right to immediately terminate your account without a refund and pursue legal action.

5. Third-Party Services and Open-Source Components

The Platform integrates certain third-party and open-source financial data components (such as TradingView charting tools). Your use of these components is subject to the terms of their respective providers. We are not responsible for any delays, interruptions, or inaccuracies in third-party data.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Arakawa Quant and its team members shall not be liable for any direct, indirect, incidental, or consequential damages (including but not limited to loss of trading profits or loss of data), even if we have been advised of the possibility of such damages. In no event shall our total liability to you exceed the total amount you paid for the Services in the past twelve (12) months.

7. Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
